1. Introduction

Welcome to Trendy Wave Digital (“Company,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access and use of our website, services, and digital products.

This contract is legally binding under:

The Indian Contract Act, 1872
The Information Technology Act, 2000 (IT Act)

2. Definitions

For the purpose of these Terms:

“Client” / “You” / “Your”: Refers to the person, business, or representative using our services.
“Services”: Refers to all marketing services including SEO, PPC, website design, social media campaigns, email marketing, content creation, analytics, and consulting.
“Deliverables”: The intellectual work product (designs, ads, reports, campaign setups, websites) provided as part of services.
“Agreement”: The binding contract formed once a client accepts a proposal, signs a contract, or pays an invoice.
“Website”: www.trendywavedigital.com.

3. Scope of Services

Trendy Wave Digital provides professional digital marketing solutions, which may include:

Search Engine Optimization (SEO)
Paid Advertising / Pay-Per-Click (PPC on Google, Meta, etc.)
Social Media Marketing and Brand Management
Web Design and Development
Content Creation and Copywriting
Email Marketing & Automation
Performance Analytics, Data & Reports
Other digital consultancy services as agreed

Services are customized and vary per client based on agreed scope.

4. Eligibility to Use Services

By engaging with Trendy Wave Digital, you confirm:

You are at least 18+ years old with full legal capacity.
You are entering this Agreement on behalf of yourself or a registered business entity with authority to bind contracts.
You will provide lawful, accurate, and updated business information at the time of onboarding.

5. Client Responsibilities

To ensure smooth service delivery, you agree to:

Provide prompt access to required business data, content, logins, or software.
Ensure all provided information and materials are accurate and lawful.
Make timely payments in accordance with invoices/agreements.
Review and approve deliverables promptly to avoid delays.
Not misuse or attempt unauthorized access of our systems, platforms, or intellectual property.
Maintain professional, non-abusive communication with our team.

6. Payment Terms

Payment Methods: We accept Bank Transfers, UPI, Credit/Debit Cards, and other approved channels.
Due Dates: Payments must be made as per agreed invoice terms, typically in advance or staged milestone payments.
Late Payment Penalty: Payments delayed beyond 7 working days may incur interest charges or service suspension.
Ownership Transfer: Deliverables remain the property of Trendy Wave Digital until full payment is made.
Taxes: Applicable taxes such as GST (Goods and Services Tax) will be charged as per Indian law.

7. Intellectual Property Rights

All designs, code, strategies, content, and reports created under this contract are the intellectual property of Trendy Wave Digital until final payment is cleared.
Upon settlement, full ownership rights of the project deliverables are transferred to the client, except third-party tools, stock assets, or proprietary methods.
Clients are prohibited from reselling or redistributing our intellectual property without prior consent.

8. Service Limitations

Our services are based on industry best practices, expertise, and reasonable commercial efforts.

However, due to external factors, we do not guarantee:

Specific SEO keyword rankings
Fixed lead or revenue numbers
Search engine algorithm stability
Social media platform policy issues
Outcomes influenced by third-party hosting/API limitations

Clients understand that marketing inherently carries uncertainties and trends beyond agency control.

9. Confidentiality

Both parties agree:

To keep confidential all sensitive business information, website credentials, campaign data, and trade secrets.
Not to disclose client material to third parties without written consent.
Confidentiality obligation survives contract termination.

10. Termination of Services

We reserve the right to suspend or terminate this agreement immediately if:

The client breaches these Terms or applicable law.
Payments remain overdue by more than 7 business days.
Services are used for illegal, offensive, or fraudulent purposes.

Clients may terminate contracts with 15 days’ written notice subject to our Refund & Cancellation Policy.

11. Refund & Cancellation

Refund claims are strictly subject to our Refund & Returns Policy outlined separately on our website.

No refund is provided for services already completed or digital assets delivered.
Cancellation must be initiated within 24 hours for new orders.

12. Limitation of Liability

To the maximum extent permitted by law:

Trendy Wave Digital will not be liable for loss of profits, business, goodwill, or indirect damages caused by:
- Search engine / algorithm updates
- API failures or restrictions from third-party platforms
- Incorrect/incomplete data provided by clients
- Downtime caused by hosting service providers
Our total liability (if proven) will not exceed the fee paid for that specific service.

13. Dispute Resolution

Parties agree to settle disputes amicably through negotiation.
If unresolved, disputes shall be referred to arbitration under the Arbitration & Conciliation Act, 1996.
Arbitration proceedings will be conducted in English at Noida, Uttar Pradesh, India.
Courts of Noida, Uttar Pradesh shall have exclusive jurisdiction.

14. Governing Law

These Terms are governed and interpreted under the laws of India along with international cyber and commercial regulations where applicable.

15. Changes to Terms

We may update these Terms from time to time for legal, operational, or commercial purposes. The revised Terms will be posted on our website with updated effective dates. Continued use of Trendy Wave Digital’s services constitutes acceptance of the updated Terms.

16. Severability

If any clause of these Terms is found invalid, the rest of the Terms remain fully enforceable.
